As a consequence of the normal functioning of the economical activity of a company, it could be decided by the shareholders, to change the administrator or administrators of a company.
It is need to have clear that it is not possible to have a company legally trading in Spain unless the company has administrators, to be able to develop the administration functions that have to be done in order to fullfill the economical activities that are needed to be done to serve the economical object of the company.
That is the reason why it is necessary to designate the name of the administrators of the companies on the Public Deeds on the constitution of the company. Never the less, that does not mean that it is not going to be possible to change the name of the administrators of the companies. This will be possible as a consequence of an agreeement reached by the shareholders of a company where it will be said that they accept and admit to change the administrator of a particular company. And that as a consequence of that agreement they accept to designate a new one.
That will have to documented on some public deeds on these particulars, that will have to be signed in a notary designated by the shareholders of the company and to these public

deeds will have to be attached a certificate elaborated by Mr. Ruiz Castillo contemplating the Legal requirements on these particulars and that will have to be signed by the Administrator or administrators that are leaving the administration of the company.
These Public Deeds will be signed at the notary and will have to be accepted and inscribed by the Company House where the company was inscribed initially.
It will be needed that this document is presented and submitted to the Tax Authorities, before this is accepted by the Company House. Never the less, this will be done only on a pure formalistic level as no tax payment will be attached to these document. The document will be presented by Mr. Ruiz Castillo on behalf of the company as part of his needed professional intervention concerning these particulars.
Once the Public Deeds have been inscribed under the Company House, they will be collected by Mr. Ruiz Castillo and they will be given back to the new representatives of the company so the process will be finished. From there all the rest of the legal work done by Mr. Ruiz Castillo on behalf of the company will done with the intervention of the new legal representatives of the company.
These Public Deeds will be signed at the notary and will have to be accepted and inscribed by the Company House where the company was inscribed initially.
