If a client wishes to purchase shares in a company, Mr. Ruiz Castillo will, firstly go to the Company House where the company is registered, to obtain relevant information about the company:- capital, company address and the system of administration.
He will also obtain a copy of the last legalized company accounts.
Based on this, and other information, Mr. Ruiz Castillo will be able to provide financial and economic advice concerning the extent, if any, his client should invest in this company´s shares.
If the transaction is considered viable he will help the client with the process needed to complete the transfer of shares legally:-
1. He will draw up a private contract between the two parties, stating terms and conditions and the obligations of the counterparts of the share deal.
2. He will accompany the client to the Notary on the agreed date and time, to elaborate the Public Deed which gives validity to the transfer of the shares.
3. He will pay the associated taxes of the transfer, on behalf of the client, to the Junta de Andalucia.
4. He will contact the administration of the company to provide them with the original of the Public Deed, so that they can be registered in the name of the client in the company files, thus giving his client equal rights as all the other shareholders.
